Partner Program Terms & Conditions

Acceptance of Terms
These Partner Program Terms & Conditions ("Partner Terms") govern your participation in the Gabble Tech Pvt Ltd ("we," "us," or "our") referral/affiliate program (the "Partner Program"). They apply in addition to, and do not replace, our general Terms of Service. By enrolling in the Partner Program, accessing the partner portal, or using a referral code issued to you, you agree to these Partner Terms. If you do not agree, do not enroll or accept referral commissions.
Eligibility & Enrollment
  • The Partner Program is open to tutors, educators, content creators, and other individuals or entities approved by us at our sole discretion.
  • Enrollment requires a partner portal account. You are responsible for keeping your login credentials and payout details accurate and confidential.
  • We may decline or revoke enrollment at any time, with or without cause.
    • Referral Codes & Attribution
  • Upon approval, you will be issued a unique referral/discount code to share with prospective users.
  • A referral is attributed to you when a new user signs up using your code (or a link containing it). Attribution is locked in at signup and stays with your account even if the code is later deactivated or the user does not complete a purchase until much later.
  • Attribution is first-touch: if a user was referred by you, a different code applied at checkout does not reassign attribution away from you.
  • Referral links are only valid to capture attribution for a limited window after a prospective user first clicks them; once a user has signed up, attribution is permanent regardless of that window.
  • Self-referrals, and codes used to obtain a discount on your own purchases, do not earn commission.
    • Commission Structure
  • Your commission percentage is individually set by us and displayed on your partner portal dashboard. Commission rates may vary between partners and may be changed by us prospectively, with notice via the portal or email.
  • Commission is calculated on the actual amount paid by the referred user (after any discount applied), not the listed price.
  • Commission accrues only on completed, successful payments. It does not accrue on failed, cancelled, or pending transactions.
  • If a referred user's payment is later refunded, in part or in full, the corresponding commission is reduced or reversed accordingly, and any amount already paid out for that transaction may be deducted from your future payouts.
    • Payouts
  • Earned commissions are payable once your accrued, unpaid balance reaches a minimum of USD $100 (or the equivalent in your payout currency).
  • Balances below the minimum threshold carry forward and accumulate until the threshold is met.
  • Payouts are processed between the 1st and 15th of the month following the month in which the balance became eligible for payout.
  • Payouts are made to the payout details you provide and keep up to date in the partner portal. We are not responsible for delayed or failed payouts caused by inaccurate or outdated payout details.
  • Your dashboard may display figures in USD for convenience; actual settlement currency and any conversion is determined by your payout details and prevailing exchange rates at the time of processing.
    • Independent Contractor Status
    Your participation in the Partner Program does not create an employment, agency, joint venture, or partnership relationship between you and Gabble Tech Pvt Ltd. You act as an independent contractor and are solely responsible for any taxes, filings, or statutory obligations arising from commissions you earn.
    Prohibited Conduct
  • Do not misrepresent your relationship with Gabble.ai, make false or misleading claims about our products, or guarantee outcomes (e.g., specific exam scores) in your promotions.
  • Do not bid on Gabble.ai brand terms in paid search advertising or engage in spam, unsolicited bulk messaging, or incentivized/fake sign-ups to generate referrals.
  • Do not create or use multiple accounts, or coordinate with other users, to artificially inflate referrals or commissions.
  • Violation of this section may result in forfeiture of unpaid commissions and immediate termination from the Partner Program.
    • Use of Brand & Marketing Materials
    Any use of the Gabble.ai name, logo, or marketing materials in your promotions requires our prior written consent and must comply with any brand guidelines we provide. This license is non-exclusive, non-transferable, and revocable at any time.
    Term & Termination
  • Either party may terminate your participation in the Partner Program at any time, with or without cause.
  • Upon termination, your referral code(s) will be deactivated for new sign-ups, but referrals already attributed to you before deactivation remain attributed to you for commission purposes.
  • Any commission balance validly earned and not forfeited under these Partner Terms as of termination will still be paid out once it meets the payout threshold described above.
  • We reserve the right to withhold or reverse commissions obtained through fraud, abuse, or violation of these Partner Terms, even after termination.
    • Changes to These Terms
  • We may modify these Partner Terms, including commission rates and payout policies, at any time.
  • Changes will be published on this page and, where the change materially affects you, communicated via the partner portal or email.
  • Continued participation in the Partner Program after changes take effect constitutes acceptance of the updated Partner Terms.
    • Limitation of Liability
  • The Partner Program is provided on an "as is" basis. We make no guarantee regarding the volume of referrals, conversions, or commissions you may earn.
  • To the fullest extent permitted by law, Gabble Tech Pvt Ltd will not be liable for any indirect, incidental, or consequential damages arising from your participation in the Partner Program.
    • Indemnification
    You agree to indemnify and hold harmless Gabble Tech Pvt Ltd, its affiliates, and employees from any claims, damages, liabilities, losses, or expenses (including legal fees) arising from your marketing activity, misrepresentation, or violation of these Partner Terms.
    Governing Law & Dispute Resolution
  • These Partner Terms are governed by and construed in accordance with the laws of India.
  • Any legal actions or proceedings arising from these Partner Terms will be brought in the courts located in Maharashtra, India.
    • Severability
    If any provision of these Partner Terms is found to be invalid or unenforceable under applicable law, that provision will be limited or removed to the minimum extent necessary, and the other provisions will remain in full force and effect.
